Terms and Conditions

1. Your relationship with Pmanaging

1.1 Your use of the Pmanaging website (the "Website") and all of the products, software and services, will be subject to the conditions of a legal agreement between you and SOROS GABINETE S.L.U. company with registered address at Parque Empresarial "La Finca" Pº Club Deportivo, 1, Edif. 15A, 1ª Pl. 28223-Pozuelo de Alarcón - Madrid.

1.2 The Terms and Conditions constitute a legally binding contract for you and for Pmanaging in relation to your use of the Services, which is why it is important that you read them carefully.

1.3 The Terms and Conditions are applicable to all users of the Website, including those users who similarly contribute contents, information and other materials or services to Pmanaging.

2. Acceptance of the Terms and Conditions

2.1 In order to use the Services, you must first accept the Terms and Conditions. You cannot use the Services unless you accept the Terms and Conditions.

2.2 You can accept the Terms and Conditions through the mere use of the Services. You recognise and accept that Pmanaging will consider that your use of the Services constitutes acceptance of the Terms and Conditions from the start of said use.

2.3 You may not use the Services and nor may you accept the Terms and Conditions if (a) you are not legally capacitated to enter into a binding contract with SOROS GABINETE S.L.U., or (b) you are prohibited or legally excluded from receiving or using the Services, by virtue of legislation in your country of residence or the country from which you access and use the Services.

2.4 We recommend that you print and store in your files a local copy of the Terms and Conditions.

3. Language of the Terms and Conditions

3.1 When Pmanaging provides you with a version of the Terms and Conditions in English, said translation will be understood as facilitated for the sole purpose of convenience with the versions of the Terms and Conditions in the Spanish language being the only ones to govern your relationship with Pmanaging.

3.2 In the event of contradiction between what is expressed in the Spanish version of the Terms and Conditions and what is expressed in a translation thereof, the Spanish language version will prevail.

4. Changes in the Terms and Conditions

4.1 Pmanaging will be able to make changes to the Terms and Conditions at any time. When these changes are made, Pmanaging will publish a new copy of the Terms and Conditions on the website.

4.2 You recognise and accept that if you use the Services after the date of modification of the Terms and Conditions, Pmanaging will consider that your use of the Services constitutes acceptance of the up-dated Terms and Conditions.

4.3 Periodically check the Terms and Conditions to remain informed about the possible existence of changes.

5. Pmanaging Accounts

5.1 In order to access certain functions of the Website or other Services, you will have to create a Pmanaging account. When creating your account, you must facilitate certain correct and complete information. It is important that you keep your Pmanaging account password safe and confidential.

5.2 You must notify Pmanaging immediately of any non-compliance with the safety regulations or any unauthorised use of your Pmanaging account that you may become aware of.

5.3 You accept that you are the sole party responsible (to Pmanaging and to other third parties) of all activity that takes place with your Pmanaging account.

6. General restrictions of use

6.1 Pmanaging authorises you to access and use the Website and the Services, subject to the specific conditions indicated to follow, and you accept that your failure to observe any of these conditions will constitute non-compliance of the present Terms and Conditions on your part:

A. You agree to not distribute any part of the Website, including but not limited to, the User Files (in accordance with the definition of this term to follow), over any medium whatsoever without the prior written authorisation of Pmanaging;

B. You agree to not alter or modify any part of the Website or the Services;

C. You agree to not elude, deactivate or manipulate in any other way (or seek to elude, deactivate or manipulate) the security functions of the Website or any other functions which (i) impede or restrict the use or copying of User Files or of the Contents of Pmanaging, or (ii) which apply limitations to the use of the Website or the contents provided through the Website;

D. You agree to not use the Website and the Services (including the comments and the e-mail functions of the Website) for the provision of services in relation to commercial activity; and

E. You agree to not provide services, for commercial purposes, to users of the Website in relation to User Files.

6.2 You agree to fulfil all other provisions of the Terms and Conditions and of the Directives of the Pmanaging Community at all time while using the Services.

6.4 Pmanaging is constantly innovating for the purposes of providing its users with the best experience possible. You recognise and accept that the form and nature of the Services provided by Pmanaging may vary at any time without the requirement of prior notice.

6.5 As part of this process of constant innovation, you recognise and accept that Pmanaging may interrupt (either permanently or temporarily) the provision of Services (or of any of the functions of same) to you or to users in general, at the exclusive option of Pmanaging, without the requirement of prior notice. You may cease using the Services at any time and will not be obliged to specifically inform Pmanaging of same.

6.6 You recognise that you are the sole party responsible (without Pmanaging assuming any responsibility for you or any third party for) the non-fulfilment of your obligations as established in the Terms and Conditions and of the consequences (including any losses or damages may incur) derived from said non-fulfilment.

7. Your User Files

7.1 You will continue to be the owners of rights relating to your User Files, although you must grant limited licence rights to the favour of Pmanaging and other users of the Website.

7.2 You recognise and accept that you are the sole party responsible for your User Files and of the consequences of their publication. Pmanaging does not subscribe to any User File, or any opinion, recommendation or advice expressed in relation to same, expressly excluding all liability relating to User Files.

8. Rights you grant under licence

8.1 When up-loading or publishing a User File on Pmanaging, you will be granting:

A. to the favour of Pmanaging, a worldwide licence, non-exclusive, exempt of royalties and transferable (with right to sub-licence) to use, reproduce, distribute, execute work derived from, exhibit and execute said User File in relation to the provision of Services and to the operation of the Website and the activity of Pmanaging, including without any limitation whatsoever, for the purposes of the promotion and redistribution of the totality or a part of the Website (and its derived work) on any format and through any channel of communication;

B. to the favour of each user of the Website, a worldwide licence, non-exclusive and exempt of royalties to access your User Files through the Website, and to use, reproduce, distribute, execute work derived from, exhibit and execute said user Files insofar as is permitted by the functionality of the Website and in accordance with the present Terms and Conditions.

8.2 The afore-mentioned licences granted by you in relation to User Videos will be cancelled when you eliminate or delete your User Videos from the Website. The afore-mentioned licences granted by you in relation to the User Comments are of perpetual and irrevocable nature, without prejudice to your property rights, the ownership of which will belong to you at all times in accordance with what is stipulated in point 8.2 above.

9. Termination of your relation with Pmanaging

9.1 The Terms and Conditions will continue being of application until their termination at your behest or at the behest of Pmanaging in accordance with the following provisions.

9.2 If you wish to terminate your legal contract with Pmanaging, you can do so (a) by notifying Pmanaging at any time and (b) by closing your Pmanaging account. Your notification must be sent, in writing, to the address of Pmanaging indicated at the beginning of the present Terms and Conditions.

9.3 Pmanaging may terminate its legal contract with you at any time if:

A. You fail to comply with any of the provisions included in the Terms and Conditions (or act in a way that clearly indicates that you intend to do so or that you will not be capable of complying with what is stipulated in the Terms and Conditions); or

B. Pmanaging is obliged to do so by Law (for example, when the provision of Services to you is, or becomes, illegal); or

C. Pmanaging stops providing Services to users in your country of residence or in the country from which you are using the Services; or

D. the provision of Services to you on the part of Pmanaging, cease to be, in the opinion of same, commercially viable.

9.4 Upon termination of the present Terms and Conditions, all legal rights and obligations which correspond to both you and Pmanaging (or which have accrued during the validity of the Terms and Conditions), or the validity of which must expressly continue indefinitely, will not be affected by said termination, and the provisions included in point 12.6 will continue to apply to said rights and obligations indefinitely.

10. Exclusion of Guarantees

14.1 None of that which is established in the Terms and Conditions will affect the legal rights which accrue to you at all times as a consumer and with respect to which you may not contractually agree any modification or renunciation.

10.2 The Services are provided “as is” and Pmanaging does not grant any guarantee nor make any representation to you in respect of same.

10.3 In particular, Pmanaging does not state or guarantee that:

A. your use of the Services will fulfil your requirements,

B. your use of the Services will be uninterrupted, punctual, secure or free of errors,

C. the information you obtain as a consequence of your use of the Services will be correct or reliable, and

D. defects in the operation of the functionalities of any software provided as part of the Services will be corrected.

10.4 No condition or guarantee will be applicable to the Services (including any implicit guarantees in relation to quality satisfaction and adaptation to a specific purpose or description) except insofar as expressly stipulated in the Terms and Conditions.

11. Limitation of liability

15.1 None of what has been stipulated in the present Terms and Conditions will exclude or limit the liability of Pmanaging due to losses which cannot be legally excluded or limited by virtue of applicable legislation.

11.2 In accordance with the general provision included in point 11.1 above, Pmanaging will not be liable for:

A. indirect or derived losses you may incur, including any loss of profits (regardless of whether they originated directly or indirectly), loss of business funds or business prestige, or loss of data experienced by you;

B. losses or damage you may incur as a consequence of:

i. the credibility which you grant to the exhaustion, precision or existence of any advertising material, or as a consequence of any relation or operation between you and any advertiser or sponsor whose advertising appears in the Services;

ii. any change that Pmanaging introduces in relation to the Services, or any permanent or temporary cessation in the provision of Services (or any of their functions);

iii. the elimination, corruption or failure in relation to the storage of any User File or other communication data maintained or transmitted through your use of the Services;

iv. your failure to provide Pmanaging with the account information required;

v. your failure to maintain the safety and confidentiality of your Pmanaging password or account information;

11.3 The limitation of Pmanaging’s liabilities in relation to you included in point 11.2 above will be of application regardless of the fact that Pmanaging may have been alerted or should have been alerted to the possibility of said losses having occurred.

12. General provisions

12.1 The Terms and Conditions constitute a full legal agreement between you and Pmanaging, govern your use of the Services and replace all other agreements between you and Pmanaging in relation to the Services.

12.2 You accept that Pmanaging may send you notifications, including those relating to changes in the Terms and Conditions, via e-mail, ordinary post or by publishing said modifications on the Pmanaging Website.

12.3 You accept that in the event that Pmanaging does not exercise any legal right or action included within the Terms and Conditions (or which corresponds by virtue of applicable legislation), this does not constitute any formal renunciation of the rights of Pmanaging, with said rights and legal actions remaining fully valid for Pmanaging.

12.4 If a tribunal with competent jurisdiction on this matter determines that any of the provisions of the present Terms and Conditions is invalid, said provision will be eliminated from the Terms and Conditions without this affecting the remainder of same with all other provisions remaining fully valid in all their facets.

12.5 You recognise and accept that all the members of the group of companies of which Pmanaging forms part will be third party beneficiaries of the Terms and Conditions and that said companies will have the right to demand, directly, the fulfilment of any provision of the Terms and Conditions which includes a benefit for them (or any right assigned to their favour). Apart from the afore-mentioned companies, no other person or company will be a third party beneficiary of the Terms and Conditions.

12.6 The Terms and Conditions and your relation with Pmanaging in accordance with what is herein established, will be governed by the laws of Spain.
